Consultant to Support Due Diligence Work

1.Background

SNV Netherlands Development Organisation, as a result of an international competitive commercial tender, has been selected by the UK Department for International Development (DFID) as the Fund Manager to run the Vietnam Business Challenge Fund (VBCF) from September 2012 until the end of 2015. The overall purpose of VBCF is to support the private sector in Vietnam to develop innovative Inclusive Business models that deliver both commercial benefits for the private sector and developmental benefits for poor people, in terms of job creation, income improvements and availability of more affordable goods and services.

VBCF will provide business mentoring support and award non-reimbursable funding of selected proposal budgets to companies operating in Vietnam through competitive calls for relevant business proposals that will handle the market challenges innovatively, benefit the poor and be commercially sustainable and replicable in the long run. Funding is available for up to USD 800,000 per project for proposals in three sectors – agriculture, low-carbon growth and infrastructure and basic services.

VBCF is seeking for an experienced professional to support the VBCF Team in conducting the Due Diligence work for the short listed companies from the first round of selection that have submitted their full business plans.

2.Scope of Work

The objective of the VBCF due-diligence is to verify that the business plans submitted by applicants are:

- Technically, financially and commercially feasible;
- The plans are based on accurate information, reasonable assumptions and are designed to achieve the VBCF desired impact;
- The potential impact could justify financial investment (value for money)
- The applicants have reasonable capacity to implement its proposal.

The information gathered from due-diligence should help the investment panel in its decision-making as well as provide input and suggestions for business plan improvement.

The due-diligence methodology is risk-based, so more attention will be put on those issues that pose more risk in achieving the project objective. The consultant conducting due diligence should not only working with the applicants, but will also have to gather information from other independent sources, which might include but not limit to:

- Internet and mass media;
- Industry experts;
- Other companies in the sectors;
- Employees, suppliers and distributors;
- Local government and other stakeholders as relevant.

As such, the following due-diligence process will be applied:

- Conduct primary desk review of the submitted plan to have first impression and primary finding;
- Consult with VBCF Team members to get additional inputs;
- Identify major risk areas, making assumptions, and develop the field due diligence plan;
- Conduct field trip due-diligence, interviewing the applicants and relevant stakeholders;
- Formulate and verify key findings, write due-diligence report and recommendations.

The consultant will conduct a minimum of 3 and a maximum of 5 Due Diligences.

VBCF’ consultants are required to sign and comply with the VBCF’ Code of Conduct.

3.Qualifications

- Vietnamese citizen
- MBA or equivalent qualification
- 7 years of relevant working experience, preferably in the business development services, consulting firms in the agriculture sector or investment funds
- Experience with Investment analysis and/or Due Diligence work
- Experience with agricultural investments that involve small farmers supply chains
- Experience with green projects and infrastructure/basic services that involve the low income consumers
- Experience or solid understanding in monitoring and evaluation in development and private sector projects
- Understanding of poverty and social impact
- Ability to think independently, analyze problems, and identify solutions;
- Good understanding of field realities; ability to link different professional spheres: business, government, and civil society
- Ability and willingness to travel.
- Good computer skills in MS-applications (Word, Excel, Outlook, Internet, Etc.)
- Having skills of assessment, reporting; good communication and presentation skills in both English and Vietnamese;
- Being committed to meet deadlines

4.Timing

Submitting CV and the expected fee rate: May 30th, 2013
CV screening by VBCF: May 31st, 2013
Contracting: June 5th, 2013
End of contract: August 5th, 2013                                    

5.Remuneration

The maximum rate to hire the required the consultancy services is 206 USD/Day.
