Legal Adviser

The Ministry of Education and Training has received a loan from the special fund resources of World Bank toward the Project of establishing Vietnam Germany University, aims to develop the University becoming a top training and research center of Vietnam as well as a university meeting regional and international standards; PMU is looking for an Individual Legal Adviser of construction during the project implementation.

General Tasks:

Individual Legal Adviser is mainly responsible for assisting PMU in legal aspects during the negotiation process to sign 03 below consultant service contracts to ensure that all contracts signed between PMU and consultants are in accordance with statutory regulations and international practices and to ensure PMU’s legal rights.
Scope and requirements of the assignment:

Consultant service assignments are:

(1) Design – and General Planner:  cost estimation of 5,843,000USD;
(2) Project Management: cost estimation of 1,270,000USD;
(3) Quantity Survey (Arch, MEPF, Struc, Landscape, ID): cost estimation of 745,000USD.

- Individual legal adviser will have to involve at the process of draft contracts, negotiation contracts and finalize the contracts. The contracts have to follow the guideline of the World Bank;
- Upon request, individual legal adviser will have to interpret, analyze fully the terms, the concepts which are used in the contract as well as advise the project management unit choose the best solution in the terms of the contract (including the expression) in order to avoid the possible risks;
- During the contract negotiation process, individual legal adviser has to interpret correctly all desires of parties involving in the negotiation, which will be indicated in contract clauses (if necessary) to ensure that the two parties have the same understanding for one certain issue;
- Individual legal adviser will have to review the contract and other documents related to the contract to ensure that the contents of the contract reflect full content negotiated and achieve the objectives mentioned in Section 3.1;
- Individual legal adviser will have to summarize the necessary documents for the contract negotiation process. The PMU will provide all relevant documents as required by legal adviser;
- To provide other legal services as requested by PMU from time to time.

Requirements

Having Bachelor Degree of Law; having operating registration granted by competent authority in the state of Vietnam; having at least 10 years experience in practical working in the fields of  aforementioned training programs; having at least 5 similar consultant contracts (advise for organizations in negotiating and signing similar contracts); having knowledge and understanding on regulations (matters relate to the aspects of contract) of ODA donors; to be fluent in English (listening, speaking, reading and writing skills) and Vietnamese; having experience and knowledge of Vietnamese culture is preferred; to be good at computer literacy for professional work.

Working time: Assignment probably starts in the end of July, 2013. Individual legal adviser should have at least 12 working hours per week at the PMU’s office;

Working location: Hanoi.
